1. Choose Your Business Activity

Choosing the right business activity in the UAE Free Zones is essential for your business’s success.

Whether you’re involved in Trading, Consultancy Services, E-commerce, Digital Marketing, Innovation, or other sectors, each category comes with its own set of regulations.

To ensure your business complies with legal requirements, it’s wise to seek advice from a knowledgeable source.

2. Choose your Legal Structure

You need to decide what kind of business you want to form. Dubai offers several types of business structures, such as:

  • Limited Liability Company (LLC): Ideal for most businesses, with at least 51% local ownership.
  • Branch Office: For companies that are already established overseas.
  • Freezone Company: A company formation in Dubai Free Zone is ideal if you want 100% foreign ownership and to operate outside the UAE mainland.

Most foreigners go with a Freezone Company. However, there are over 45 different Free Zones in the UAE. Which one will serve you the best depends on the type of business you have, your ownership of it, and projected income levels.

3. Register Your Trade Name

You’ll need to choose a trade name for your company. This name should comply with the UAE’s naming regulations, so no offensive words or religious references.

Once you’ve chosen, The Free Zone Authority will review your application and register it with the Department of Economic Development (DED) in Dubai.

4. Business Space and Location for UAE Free Zones

Having an office Space in the UAE is a crucial step. But don’t stress about the logistics of finding one.

Most well-established Free Zones offer a variety of solutions, such as shared flexi-desks and furnished or semi-furnished office spaces. These solutions will be included in the incorporation set-up price.

If you actually intend on spending time in the UAE, these office spaces are great facilities that will be available to you, providing state-of-the-art IT infrastructure, photocopy and printing services, meeting rooms, etc.

5. Register and Pay Fees to the Free Zone

During this phase, you’ll have to prepare all your legal documents with the help of your Free Zone consultants. This might include things such as a copy of your passport and a fully completed application form with a brief business description.

Once the application package is submitted, you’ll have to pay the Free Zone fees, which vary from one Free Zone to another but include things such as:

  • Business license fees
  • Registration fee
  • Establishment Card fee
  • Visa fees

To complete the registration process, you’ll need to submit your payment together with company documents such as the Memorandum of Association and Articles of Association, Passport copies of all shareholders and directors, and an office space lease.

You will then be issued your Trade License and Certificate of Incorporation. These documents are proof that your company legally exists in the UAE.

6. Submit Your Visa Application

Now that your company legally exists, it can then sponsor you, and it’s time to apply for your UAE residency visa. Within 14 days, you should receive confirmation of your visa approval.

7. Plan Your Visit to the UAE

You’ll have 60 days to travel to the UAE, but you only need to stay for one week during this period to complete the visa process. During your stay, you’ll need to complete a medical check-up and submit your biometric data for the Emirates ID.

8. Receive Your Emirates ID

Once you’ve completed all the formalities and the business setup in UAE, you’ll submit your results and collect your Emirates ID and visa in about 10 days.

Total Setup Cost: Expect to pay around AED 22,250, which is roughly $6,000 up to $6,500 USD. This cost covers your business license, visa, establishment card, and other setup fees. If you need additional visas (for your spouse or business partners), the price will increase.

Company Formation in Dubai Mainland VS Dubai Free Zone

When setting up a company in Dubai, one of the most critical decisions is whether to operate in a Free Zone or on the UAE Mainland, which isn’t easy to understand at first.

Both options have their pros and cons, so let’s break them down.

Business Setup in UAE Free Zone

A Free Zone is a designated area where foreign businesses can operate with 100% foreign ownership. It’s a great option if you plan to do business internationally or online.

Benefits of Free Zone

A company formation in Dubai Free Zone has many advantages, full foreign ownership without a local partner, exemption from customs duty on goods, and flexibility to use shared or flexi-desk office spaces.

Free Zone companies have many tax exemptions, which is good.

However, the main limitation is that Free Zone businesses cannot operate directly in the UAE mainland unless they have a local distributor or set up a mainland branch. If you’re a digital nomad and work online, this isn’t a big difference for you.

Mainland Business Setup

Company formation in Dubai Mainland allows you to operate freely throughout the UAE and internationally. However, you will need a local partner or sponsor who owns 51% of the business unless you’re setting up a professional services company.

Benefits of Mainland

A mainland setup in Dubai allows companies to operate throughout UAE and internationally, and access to local and global markets.

Also, mainland companies can bid for government contracts and work on projects in the UAE. Although a company formation in Dubai Mainland can be more costly due to sponsorship fees and office space requirements, it offers more business opportunities.

Difference Between a Company Formation in Dubai or UAE and the Free Zones

Setting up a business in the UAE mainland allows you to operate both within the local market and internationally, but as mentioned above, it requires a local sponsor who will hold 51% ownership of the company unless you’re forming a professional services business.

This setup offers more opportunities, including the ability to bid for government contracts and access the UAE market directly.

On the other hand, Free Zones provide 100% foreign ownership, making them attractive for international businesses that do not need to operate within the UAE mainland. Free Zone businesses enjoy tax exemptions, no customs duties, and a simplified business setup process.

However, they are limited in their ability to trade directly within the UAE and may require a local distributor or mainland branch for such activities. The choice depends on your business needs and market goals.

Tax Residency in the UAE

One of the biggest draws of living and your business setup in UAE is the tax advantages. But, if you want to be a UAE tax resident, there are a few important rules to follow.

First of all, to be a tax resident, you must stay in the UAE for at least 90 days a year, which is only 3 months and a reasonable timeframe.

Apart from that, you must not stay out of the country for more than 180 consecutive days or your residency visa will be canceled. If you meet these requirements you can enjoy the tax-free personal income structure in the UAE.

How to set up a business in Dubai UAE

Corporate Tax in the UAE

Until recently the UAE didn’t have any business taxes. However, due to global pressure now all companies, both foreign and locally owned, have to pay a corporate tax of 9%.

Of course, there are tax exemptions available for businesses. Whether or not your business can claim these exemptions really depends on the type of business you’re running.

Don’t forget that personal income is not taxed in the UAE.

Corporate Tax Exemption

One of the tax exemptions is a small business relief which is available for mainland and free zone companies with revenue below AED 3 million (approximately $817,000 USD) only available until the end of 2026.

It’s best to speak with us at Wanderers Wealth before you decide to incorporate a business in the UAE to discuss whether or not your business could qualify for any tax exemptions and avoid the new corporate tax of 9%.

Compliance and Reporting Obligations

Since the introduction of a Corporate Tax in the UAE, UAE businesses now also have to deal with accounting compliances and reporting obligations.

This includes things such as having to maintain proper financial records; invoices, receipts, and accounting books. You or your UAE accountant will also have to prepare Annual Financial Statements and File Annual Returns.

If you want to stay compliant with the taxes in the UAE, you’ll also need to factor in accounting fees, which start at AED 3,500 per year depending on the size and complexity of your business.

UAE Visa Process

To complete your residency visa, you must undergo a medical examination and biometric screening in the UAE to receive an Emirates ID. So, a visit to the UAE will be necessary.

This process costs AED 1,500 and includes the necessary health checks and fingerprinting. The Emirates ID is a required identification card for all residents in the UAE.

To keep this visa active you can’t stay out of the UAE for longer than 180 days. This is one of the best visas with no tax around the world, and it’s a popular solution I offer to my clients.

Ongoing Annual Costs

Overall, when it comes to the total cost of a company formation in Dubai, you’re looking at around AED 22,250 (about $6,500 USD) for the entire setup. If you’re bringing family members or business partners, the visa fees will increase accordingly.

Now, for the annual cost, be prepared to pay the same fees annually to maintain your residency visa and business license, which will come out to roughly AED 21,870 per year (around $6,500 USD). This includes all the costs to renew your residency visa and business license. But don’t forget about those corporate taxes and annual accounting/compliance fees.
